Customer Ambassador Referral Program — Terms & Conditions

Quick terms

The Customer Ambassador Referral Program (the “Program”) rewards Ambassadors for sharing their personal referral link or code with friends, family, colleagues, and social-media followers. The default hold period is 10 days from the order date before Rewards/Compensation are approved. Store Credit, Cashback/Refund, and Free Gift Rewards are typically issued automatically after the hold period via a unique code sent to the Ambassador’s email. Bank Transfer and Custom/Manual payouts are processed in batches at least once per month.

The Program is intended for genuine word-of-mouth sharing. It is not intended for email spam, paid ads (PPC/brand bidding), coupon-site posting, or any misleading practices. The Merchant may update these Terms at any time by posting a new version here. Ambassadors may remove themselves from the Program at any time. Unused store credits and inactive personal coupon codes may be automatically deactivated and removed after 12 months of inactivity (this period may be changed later and will be reflected here). Fraud or abuse will result in Reward denial and may be reported to authorities.

1. Definitions

AmbassadorFlow means the ambassador & referral technology service provided as a service of GrowSocial LTD, a company registered in Malta (C 79065).

Merchant means the e-commerce operator from which a Customer makes a purchase; also referred to as the Store, Retailer, or Brand.

Customer means a person who makes a purchase from the Merchant’s e-commerce store.

Ambassador Center means the branded portal where an Ambassador can view referral information, Rewards/Compensation, and related materials.

Ambassador means a Customer who participates in the Program by promoting a referral coupon and/or Referral Link; an Ambassador can also be an influencer.

Referral Link means the Ambassador’s personal link that automatically activates the Ambassador’s referral code when used.

Program means the Customer Ambassador Referral Program described in these Terms.

Reward(s) (also “Compensation”) means the benefit credited to an Ambassador for a Qualified Purchase (for example, store credit, cashback/refund, bank transfer, free gift, or other benefit listed in the Ambassador Center).

Referred Customer means a Customer who completes a purchase using the Ambassador’s referral coupon (or as otherwise specified in the Ambassador Center).

Qualified Purchase means a purchase by a Referred Customer that meets these Terms (for example, not canceled or refunded during the hold period, not suspicious or fraudulent, and not a self-referral).

2. Acceptance and Scope

These Terms govern participation in the Program. The Merchant may automatically designate Customers as Ambassadors after a purchase or may require opt-in, as shown in the Ambassador Center. Participation is subject to these Terms and the Merchant’s main website terms and privacy policy. Separate terms may apply to any Influencer Ambassador Program.

3. Referral Mechanics and Credit

  • Coupon-based attribution. Referral credit is granted when a Referred Customer completes a purchase using the Ambassador’s referral coupon. Cookies are not required to credit a sale.
  • Referral Link. A Referral Link may prefill or activate the referral coupon for convenience.
  • Conflicts. If multiple ambassadors promote a purchase, the coupon actually applied on the order controls referral credit.
  • Edits and overrides. The Merchant may specify additional rules (for example, category exclusions or first-order-only limitations) in the Ambassador Center. Those rules form part of these Terms.

4. Qualified Purchases

A purchase is a Qualified Purchase only if all conditions below are met:

  • Completed and paid in full by a Referred Customer.
  • Not canceled, returned, refunded, or charged back within the 10-day hold period from the order date.
  • Not a self-referral and not otherwise prohibited by these Terms.
  • Not suspicious or fraudulent, and not made with stolen, fraudulent, or otherwise invalid payment credentials.
  • Exclusions may apply (for example, gift cards, taxes, shipping, wholesale, employee purchases, or discounted corporate orders) as specified by the Merchant.

5. Rewards and Payouts

  • Types. Rewards/Compensation may be issued as store credit, cashback/refund, bank transfer, free gifts, or other benefits listed in the Ambassador Center.
  • Automatic issuance after hold. Store Credit, Cashback/Refund, and Free Gift are typically issued automatically after the hold period by sending a unique code to the Ambassador’s email address.
  • Batch payouts. Bank Transfer and Custom/Manual payouts are processed in batches at least once per month.
  • Reversals. Rewards/Compensation may be withheld, reversed, or adjusted for returns, chargebacks, suspected abuse, errors, or violations of these Terms.
  • Expiration and removal. Unredeemed store credits and Ambassador personal coupon codes that are not used for a continuous 12-month period may be automatically deactivated and removed. The Merchant may change this period; any change will be reflected in the Ambassador Center.
  • Non-transferable. Rewards/Compensation and balances are not transferable, have no cash value unless a payout method is enabled, and do not bear interest.

6. Taxes and Compliance

The Ambassador is responsible for any taxes arising from Rewards/Compensation. Where required by law, the Merchant (or AmbassadorFlow acting on the Merchant’s instructions) may request tax or identity information and may report payouts to authorities. Certain payout methods (for example, bank transfer) may require additional verification before funds are released.

7. Communications

Program communications (for example, invitation, reward notifications, payout status, and summaries) may be sent by AmbassadorFlow on the Merchant’s behalf (typically via SendGrid) or by the Merchant through its own provider (for example, Klaviyo, Mailchimp, or SMTP). Certain essential service messages may be sent regardless of marketing preferences. For data-processing details, see the privacy information in the Ambassador Center.

8. Acceptable Use and Prohibited Conduct

The Program’s intended use is to share personal referral links or codes with friends, family, colleagues, and social-media followers. The following are not permitted:

  • Spam, unsolicited bulk messages, comment spam, or messaging-platform abuse.
  • False, misleading, or unsubstantiated claims about products, prices, or discounts.
  • Paid search bidding on the Merchant’s trademarks, or using confusingly similar domain names (including typosquatting).
  • Posting codes on public coupon/discount sites or code-sharing forums unless the Merchant explicitly allows it.
  • Use of adware, toolbars, browser extensions that auto-inject coupons, or other intrusive technologies.
  • Impersonation of the Merchant or misrepresentation of affiliation; unauthorized use of brand assets.
  • Self-referrals or referrals originating from the same person, household, address, device/IP pattern, or payment instrument as the Ambassador, unless expressly permitted.

Fraud or attempted fraud will be reported to competent authorities.

9. Brand and Intellectual Property

The Merchant grants a limited, revocable, non-exclusive license to use the Merchant’s name and links solely to promote referral codes as permitted by these Terms. No ownership rights are granted. Brand assets may be used only as provided or approved by the Merchant and must be removed upon request. Registration of domain names, handles, or ads containing the Merchant’s trademarks (or misspellings) is prohibited.

10. Fraud Controls and Audit

AmbassadorFlow assists the Merchant in detecting suspected abuse using indicators such as overlapping email, address, IP, user-agent, and timing patterns. Reviews may be automatic and/or manual. Rewards/Compensation may be placed on hold, denied, adjusted, or reversed. The Merchant may, in its reasonable discretion, refuse to issue, withhold, or reverse any Reward/Compensation if it believes a violation, error, or fraud has occurred, or to protect customers and the Program. The Merchant may request additional information from the Ambassador to complete a review. Fraud or attempted fraud may be reported to authorities.

11. Data Protection

Processing of personal data in the Ambassador Center is described in the privacy information provided above. The Merchant is the controller; AmbassadorFlow acts as processor on the Merchant’s instructions. Sales credit is based on the coupon applied to the order; cookies are not required to credit a sale.

12. Term, Suspension, and Termination

  • Ambassador right to leave. The Ambassador may remove themselves from the Program at any time by using the available options in the Ambassador Center or by contacting the Merchant.
  • Merchant suspension/termination. The Merchant may suspend or terminate participation at any time, including for suspected abuse or inactivity.
  • Effect. Upon termination, pending Rewards/Compensation may be paid or forfeited according to these Terms and applicable law. The Merchant may offset negative balances or prior overpayments.

13. Changes to these Terms

The Merchant may modify these Terms at any time by posting an updated version in the Ambassador Center. Changes take effect upon posting unless a later date is specified. Continued participation constitutes acceptance. If an Ambassador does not agree, the Ambassador may remove themselves from the Program at any time.

14. Liability and Disclaimers

To the maximum extent permitted by law, the Merchant’s total liability for the Program is limited to the value of Rewards/Compensation properly earned but unpaid. The Program is provided “as is” and may be changed, suspended, or discontinued at any time. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Merchant’s country or state of establishment, without regard to conflict-of-laws rules. Courts located at the Merchant’s principal place of business shall have exclusive jurisdiction, unless mandatory consumer-protection rules provide otherwise.

Definitions

AmbassadorFlow means the referral, ambassador & influencer technology service provider, operated by GrowSocial LTD, a company registered in Malta (C 79065).

Customer means a person who makes a purchase from the Merchant’s e-commerce store.

Ambassador Center means the branded portal where an Ambassador can view referral information, rewards, and related materials.

Referral Link means the Ambassador’s personal link that automatically activates the Ambassador’s referral code when used.

Parties and Roles

This section describes processing of personal data in the Ambassador Center and supplements the Merchant’s primary privacy policy in Part 1. The Merchant is the data controller for personal data processed in connection with the referral program. AmbassadorFlow acts as the Merchant’s data processor and processes personal data only on documented instructions. AmbassadorFlow’s general privacy information is available at ambassadorflow.com/privacy-policy-gdpr/.

Ambassador Onboarding

Ambassadors may be created automatically following a purchase. Delivery of invitation and update communications (email or SMS) depends on the Merchant’s configuration and the Customer’s marketing preferences as recorded by the Merchant.

Passwords, if any, are stored as secure, non-reversible hashes and are never stored in plain text.

Sources of Personal Data

The Merchant’s e-commerce platform transmits Customer and order details to AmbassadorFlow via secure APIs/webhooks when relevant events occur. The Ambassador Center records limited technical data (such as IP address and user-agent) at sign-in and during key actions (for example, using share functions). No separate product analytics tied to identity are operated by the Ambassador Center.

Attribution and Cookies

  • Sales attribution is based on the coupon applied to the order. Cookies are not required to credit a sale.
  • The Ambassador Center may set functional cookies (first-party on the Merchant’s domain and/or cookies on the domain used for the Ambassador Center) to maintain session state and, where enabled, remember a referral code for convenience. Default lifetime: up to 6 months.
  • These cookies operate under the Merchant’s legitimate interest to run the referral program and improve checkout experience. The Ambassador Center does not set cross-site marketing trackers.

Program Emails and SMS

On the Merchant’s instructions, AmbassadorFlow may send program communications (for example, invitation, reward notifications, payout status, periodic summaries) by email using SendGrid. The Merchant may alternatively send communications using its own provider (for example, Klaviyo, Mailchimp, or SMTP). SMS may be sent using BulkGate where enabled. Marketing-consent flags provided by the Merchant are honored.

Legal Bases (GDPR)

  • Contract — operation of the Ambassador account and reward calculation.
  • Legitimate interest — security, detection of fraud/self-referrals, and essential service communications.
  • Legal obligation — accounting and tax compliance for payouts where applicable.
  • Consent — only where the Merchant requires separate consent for non-essential marketing.

Fraud Controls and Program Integrity

AmbassadorFlow assists the Merchant in identifying suspected abuse (including self-referrals) using indicators such as overlapping email, address, IP, user-agent, and timing patterns. Automated systems may flag activity and, in most cases, automatically hold or adjust rewards; manual review may also be conducted. Where an automated decision materially affects an Ambassador, the Ambassador may request human review through the Merchant.

Rewards and Payouts

Programs may include store credit, cashback/refund, bank transfer, free gifts, or custom benefits. Where bank transfer or similar payouts are enabled, payout details are stored to process rewards and to satisfy accounting/tax obligations. Rewards are recalculated or reversed if an order is refunded or charged back.

Disclosures to Service Providers

  • Infrastructure and hosting within the EEA (primarily Germany/Finland).
  • Email/SMS delivery providers to send communications (for example, SendGrid for email and BulkGate for SMS, where enabled).
  • Payment/finance tools for payouts where applicable.
  • Public authorities where required by law.

International Transfers

Data used by the Ambassador Center is stored in the EEA. Where a provider operates outside the EEA/UK (for example, email delivery), transfers rely on Standard Contractual Clauses (SCCs) and appropriate safeguards as published on the subprocessor page linked above.

Retention

  • Ambassador profile and Ambassador Center activity: retained for up to 12 months after the last recorded activity, then deleted or anonymized.
  • Payout and financial records (if applicable): retained for up to 7 years to meet accounting/tax obligations; bank details may be retained for this purpose.
  • Server/security logs: retained for up to 12 months.
  • Upon deletion or termination of the Merchant’s AmbassadorFlow account, active data is deleted from production systems and purged from backups within approximately 60 days.

Data Subject Rights

Requests to access, correct, delete, restrict, object to, or port personal data, or to withdraw marketing consent, should be directed to the Merchant using the contact details in Part 1. AmbassadorFlow supports the Merchant in fulfilling such requests. Where deletion conflicts with legal retention duties (for example, payout records), data will be minimized or pseudonymized.

Security

AmbassadorFlow implements appropriate technical and organizational measures, including encryption in transit (TLS), hashed passwords, role-based access controls, regular backups with tested restores, and audit/server logs retained up to 12 months. Data-processing agreements are in place with subprocessors, and international transfers use SCCs where legally required. The Merchant will be informed without undue delay of personal-data breaches relevant to the Ambassador Center.

Eligibility

The Ambassador Center is intended for persons aged 16 and over. It is not knowingly used to collect data from children under 16.

Domains and Platforms

The Ambassador Center may operate on a domain provided by AmbassadorFlow or on a custom domain (CNAME) supplied by the Merchant (for example, ambassador.yourstore.com). Equivalent data-protection controls apply. Functionally equivalent integrations are provided for common platforms, including Shopify.
